AJW ELECTRICAL & SECURITY LTD – TERMS OF TRADE
These Terms of Trade apply to all work performed by AJW Electrical & Security Ltd and supersede any verbal or prior written agreements. By accepting a quote, placing an order, or allowing work to commence, you are deemed to have read and accepted these terms. By accepting our quote or invoice, you acknowledge you have reviewed and accepted these Terms.

1. RATES AND CHARGES
- Registered Electrician: $90.00 + GST per hour (min. 1 hour)
- Apprentices: o 1st Year: $60.00 + GST/hr o 2nd Year: $65.00 + GST/hr o 3rd Year: $70.00 + GST/hr o 4th Year: $75.00 + GST/hr
- Vehicle/Service Fee (location-based): $35.00–$50.00 + GST
- After-Hours Call-Out Fee: $270.00 + GST (includes 1st hour)
- Electrical Safety Certificate: $23.00 + GST • Certificate of Compliance: $27.00 + GST • Monthly Interest on Overdue Invoices: 2% compounding
2. BUSINESS HOURS AND TRAVEL
- Business Hours: 7:30 AM – 5:00 PM, Mon–Fri
- Work outside these hours incurs after-hours rates or call-out fees.
- Parking/Tolls: Costs incurred are chargeable to the customer.
- Travel Charges: If travel exceeds 30 minutes, additional travel fees may apply in addition to the vehicle costs outlined above. These charges will be applied at our standard hourly rate/s.
3. CANCELLATIONS & RESCHEDULING
- Free rescheduling is available with 24 hours’ notice.
- Late cancellations may incur a fee to cover lost time or expenses.
4. DEPOSITS & PROGRESS PAYMENTS
- Deposits may be required before work begins.
- Progress invoices may be issued for long or staged projects.
- Work may be suspended if payments are overdue.
5. PAYMENT TERMS
- Invoices are emailed upon job completion and due within 7 days, unless otherwise agreed.
- Electronic payment is preferred unless agreed otherwise.
- Overdue invoices (20+ days) may incur:
- 2% monthly compounding interest Debt collection/legal fees
- Suspension of work without liability
6. DEFINED TERMS
- “Electrician”: AJW Electrical & Security Ltd and authorised representatives.
- “Customer”: The recipient of the services.
- “Works”: All goods and services supplied by the Electrician.
- “Price”: The agreed amount payable.
7. CUSTOMER RESPONSIBILITIES
- Provide safe access to the worksite and disclose any hazards.
- Supply scaffolding where required.
- Remove obstructions from the work area.
- Mark underground services accurately.
- You are responsible for cleanup and disposal of materials unless quoted otherwise.
- You are responsible for contract works insurance unless otherwise agreed.
8. OWNERSHIP OF GOODS
- Ownership remains with AJW Electrical & Security Ltd until full payment is received.
- Until paid, you must:

- Act as bailee of goods
- Return goods on demand o Insure goods in your possession
- We reserve the right to repossess goods or pursue legal recovery if unpaid.
9. PERSONAL PROPERTY SECURITIES ACT 1999 (PPSA)
- These Terms create a security interest in goods supplied.
- You agree to assist with registration on the Personal Property Securities Register (PPSR).
- You waive rights under sections 114(1)(a), 133, and 134 of the PPSA and agree to receive no verification statement under s.148.
10. MATERIAL SUPPLY & DELAYS
- Material shortages or delays outside our control may affect delivery timelines. • We reserve the right to update pricing due to material cost increases or scope changes.
- Delivery dates are estimates and may vary.
11. WARRANTIES
- Workmanship Warranty: 12 months from completion, provided work is not altered or misused.
- Manufacturer warranties apply to supplied goods where applicable.
- No warranty on customer-supplied goods.
12. HAZARDOUS MATERIALS
- You are responsible for testing and removal of hazardous materials (e.g., asbestos).
- We may pause work until the site is safe.
13. INSURANCE
- AJW Electrical & Security Ltd maintains $5 million public liability insurance.
- You must hold appropriate cover, especially for construction or structural projects.
14. DISPUTE RESOLUTION
- Raise disputes in writing within 10 working days.
- We aim to resolve issues in good faith.
- If unresolved, disputes may proceed to mediation or arbitration under the Arbitration Act 1996.
15. DEFAULT & ENFORCEMENT
- We may suspend or cancel work without liability if payment is not received.
- You authorise us to register a general security interest over your assets.
- You indemnify us for legal or collection costs.
- All outstanding invoices become immediately due if you are declared insolvent.
16. CONSUMER GUARANTEES ACT 1993
- If you are a consumer, your rights under this Act apply and are not limited by these terms.
- If services are acquired for business purposes, the Act does not apply (permitted exclusion).
17. PRIVACY ACT 2020
- You authorise us to collect and use your information for business operations, including:

- Invoicing, credit checks, and debt recovery
- Marketing, unless you opt out
- Data is managed in accordance with the Privacy Act 2020
18. CONSTRUCTION CONTRACTS ACT 2002
- We may suspend work for non-payment under this Act’s provisions.
- Suspension does not constitute contract breach.
19. INTELLECTUAL PROPERTY
- We retain ownership of plans, diagrams, and documents created for your project.
- You warrant your instructions do not breach third-party IP rights.
- We may use non-identifiable project work for marketing purposes.
20. GENERAL TERMS
- These terms are governed by New Zealand law.
- Our liability is limited to the value of the work supplied.
- We are not liable for consequential loss (e.g. profit loss, downtime).
- You may not withhold payment or set-off claims unless agreed.
- We may subcontract without notice.
- Changes to these terms will be communicated in writing.
- Invalid clauses do not affect the rest of the agreement.
- Both parties will comply with all relevant laws and regulations.
- Neither party is liable for delays due to events beyond reasonable control.

- By engaging our services, accepting a quote or invoice, or allowing work to proceed, you agree to these Terms of Trade.
